Glenn McGillivray represents clients in securities, shareholder, and derivative litigation. His practice includes all stages of litigation, including trial. He has considerable experience litigating cases involving complex issues of Delaware corporate law, including breach of fiduciary duty, shareholder appraisal rights, demands for books and records, advancement and indemnification, and corporate dissolution. He also has represented clients in contract disputes involving breach of stock purchase and LLC agreements.
Prior to joining Jones Day, Glenn practiced at firms in New York and Delaware and was a member of two trial teams that tried cases to completion in the Delaware Court of Chancery. He was part of a team that secured a successful dismissal of a fiduciary duty action arising from a company’s stock recapitalization and judgment on the pleadings in a case regarding advancement of a director’s legal fees. He was also part of a team that obtained a favorable ruling for a client in a shareholder appraisal action.
Glenn is involved in pro bono service and worked on a team that was appointed amicus curiae by the Delaware Supreme Court to brief and argue an incarcerated individual’s position that Delaware’s amended criminal sentencing statute should apply retroactively and successfully represented a client in obtaining a Protection From Abuse order in Family Court. During law school, Glenn served as a certified legal intern in his law school’s Civil Justice Clinic, where he tried a bench trial in the Pennsylvania Court of Common Pleas on behalf of a client who was being sued for mortgage foreclosure.
